These Terms & Conditions (“Terms”) govern your access to and use of the website, software products and services provided by NUZN Infotech (“NUZN”, “we”, “us” or “our”). By accessing our website, purchasing a product, or engaging our services, you agree to these Terms.

1. Services

NUZN provides software products (including ERP, CRM, HR & payroll, hotel, POS, inventory, visitor, parking and energy management software) and digital services (including custom software development, cloud, AI, mobile apps and IT services). Specific deliverables, scope and pricing are set out in the applicable quotation, proposal or order.

2. Eligibility & Accounts

You must be at least 18 years old and able to enter into a binding contract. Where accounts or logins are provided, you are responsible for maintaining their confidentiality and for all activity under them.

3. Fees & Payment

• Fees are as stated in your quotation, subscription plan or invoice and are exclusive of applicable taxes (e.g. GST) unless stated otherwise.
• Payments may be collected through our authorised payment gateway. You agree to provide accurate billing information.
• Subscriptions renew as per the agreed billing cycle until cancelled in accordance with the Return & Refund Policy.

4. Intellectual Property

All software, source code, designs, trademarks and content provided by NUZN remain the property of NUZN or its licensors, except for rights expressly granted to you in a written agreement. You may not copy, resell, reverse-engineer or redistribute our software without written permission.

5. Acceptable Use

You agree not to use our services for any unlawful purpose, to infringe others’ rights, to transmit malicious code, or to disrupt or gain unauthorised access to our systems.

6. Third-Party Services

Our products may integrate with third-party services (payment gateways, messaging providers, OTAs, biometric devices, etc.). Their use is subject to their own terms, and we are not responsible for third-party performance.

7. Warranties & Disclaimer

We provide our services with reasonable skill and care. Except as expressly stated, services are provided “as is” without warranties of any kind, whether express or implied, including merchantability or fitness for a particular purpose.

8. Limitation of Liability

To the maximum extent permitted by law, NUZN shall not be liable for any indirect, incidental or consequential damages, or loss of profits or data. Our total liability for any claim shall not exceed the amount paid by you for the specific product or service giving rise to the claim.

9. Indemnity

You agree to indemnify and hold NUZN harmless from claims arising out of your misuse of the services or breach of these Terms.

10. Termination

We may suspend or terminate access if you breach these Terms or fail to pay applicable fees. Provisions that by their nature should survive termination will continue to apply.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts at New Delhi, India.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
